Hoan Foundation, Inc. and Narvarte Development, LLC, for the development and acquisition of licensing rights to two City of Milwaukee accessory dwelling unit design packages intended for broad public use.
Analysis
This resolution authorizes the Commissioner of City Development, on behalf of the Department of City Development (DCD), to enter into a three-party agreement with the Daniel W. Hoan Foundation, Inc. (Grantor) and Narvarte Development, LLC (Grantee) under which the Foundation will provide a grant of up to $10,000 to the Grantee to develop two (2) Milwaukee-replicable ADU designs intended to reduce design costs and plan review burden and increase public awareness of the potential for ADU implementation in Milwaukee, and the Grantee will grant to the Foundation and the City of Milwaukee (including DCD and the Department of Neighborhood Services (DNS)) a perpetual, worldwide, royalty-free, non-exclusive license to use, publish, and publicly distribute the resulting deliverables
Body
Whereas, The City of Milwaukee continues to face a housing shortage and seeks to expand a range of housing options, including accessory dwelling units (ADUs), to increase attainable housing opportunities within existing residential neighborhoods; and
Whereas, Standardized ADU design packages that are well-aligned with applicable building and zoning requirements can reduce design costs, lessen plan review burden, and increase public awareness of the potential for homeowners to add ADUs to Milwaukee neighborhoods; and
Whereas, The City of Milwaukee Office of Innovation approached the Daniel W. Hoan Foundation, Inc. to support development of two (2) high-quality, Milwaukee-replicable ADU designs intended for broad public use; and

Hoan Foundation, Inc. has agreed to provide grant funding, in an amount not to exceed Ten Thousand Dollars ($10,000), to Narvarte Development, LLC, a design/development firm selected/designated, for the purpose of producing two (2) ADU design packages and related deliverables; and
Whereas, The required deliverables include, at minimum, two detached ADU designs- a detached ADU with a garage (“carriage house”) and a detached ADU without a garage (“rear cottage”)-packaged in editable and publishable formats and accompanied by usability materials to support homeowner and permit applicant use; and
Whereas, In consideration of the grant, Narvarte Development LLC. will grant to the Foundation and the City of Milwaukee (including DCD and DNS) a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, publish, distribute, and display the deliverables for governmental and public informational purposes, post the deliverables publicly, allow members of the public to download and use the deliverables for personal or project planning purposes, and create and publish reasonable derivative materials; and
Whereas, The parties acknowledge that these designs are intended as standardized starting points and do not guarantee permit approval, and that property owners remain responsible for retaining appropriate licensed professionals as required and complying with all applicable codes and permitting requirements; and
Whereas, the City’s participation in the three-party agreement will be limited to acceptance and administration of the licensing rights and coordination with the Foundation and Grantee to maximize public benefit from the deliverables; and
Whereas, Under the three-party agreement, the City will neither control the Foundation’s disbursement of grant funds to the Grantee nor assume payment obligation, liability, or responsibility for the Grantee’s performance, and the City will not provide indemnity under the agreement; Now, therefore, be it
Resolved, By the Common Council of the City of Milwaukee, that the Commissioner of City Development is authorized to enter into and execute a three-party agreement, in substantially the form contemplated herein, among the Daniel W. Hoan Foundation, Inc., the City of Milwaukee through its Department of City Development, and Narvarte Development, LLC, to secure development of two (2) ADU design packages and to acquire, on behalf of the City (including DCD and DNS), the perpetual, worldwide, royalty-free, non-exclusive licensing rights described above for governmental, public informational, and broad public use purposes; and, be it
Further Resolved, That the Department of City Development and the Department of Neighborhood Services are authorized to post the deliverables publicly (including on City or partner websites), allow members of the public to download and use the deliverables for personal or project planning purposes, and create and publish reasonable derivative materials intended to support clear public guidance and a streamlined permitting pathway, provided that technical plan modifications are clearly identified as modified versions; and, be it
Further Resolved, That the Commissioner of City Development, or his designee, is authorized to coordinate with the Foundation and Grantee on reasonable implementation and public-availability steps, including attribution practices when posted publicly; and, be it
Further Resolved, That no City funds are appropriated or required by this resolution, and the City’s participation is limited to acceptance and use of licensing rights and related coordination as described herein; and, be it
Further Resolved, That the Common Council expresses its sincere appreciation to the Daniel W. Hoan Foundation, Inc. for its leadership and generosity in funding development of model ADU designs for the benefit of the City of Milwaukee, and to Narvarte Development, LLC for its commitment and professional effort in producing high-quality, Milwaukee-replicable ADU design packages intended to help expand ADU construction and address the City’s housing needs.
