Minutes note: Fernando Aniban, HACM’s Assistant Secretary, presented the Board with a draft of the contract between the Housing Authority and Travaux, Inc. Mr. Aniban specified that HACM’s engagement with Travaux is for Travaux to manage the project. Mr. Aniban stated, that these future townhome units will be Market Rate units, meaning that they are not funded by Capitol Fund grant dollars from HUD. These five buildings, consisting of 11 units, will be funded by the state’s allotment of the American Rescue Plan Act through the City of Milwaukee, and a portion will be funded by non-federal sources. Warren Jones, Travaux’s Vice President of Construction, answered Directors’ questions regarding risk types covered in the contract and future change orders.

Body
WHEREAS, WHEREAS, Market-Rate Townhomes Phase 5C-1 at Westlawn Gardens Phase 2 is one of the Housing Construction Phases of Westlawn Choice Neighborhood Project; and

WHEREAS, the Housing Authority of the City of Milwaukee (HACM) received State ARPA funding and has available HACM non-federal (program income) funds which could be use to fund construction for 5 buildings comprising of 11 units initially under this phase; and

WHEREAS, HACM will be the owner for these units; and

WHEREAS, HACM is the developer of the entire Westlawn Choice Neighborhood Initiative; and

WHEREAS, the President recommends that Travaux, Inc. enters into a contract with HACM, as Construction Manager as Adviser for this project which could include construction of additional units should funding becomes available for a fee of up to 10% of the total construction cost; now, therefore, be it

RESOLVED, by Travaux, Inc. that they approve entering into a contract with HACM. to be the Construction Manager as Adviser; and, be it

FURTHER RESOLVED, that the proper officers of the Travaux are hereby authorized and directed to properly execute said contract including amendments should additional units be constructed for and on behalf of Travaux; and, be it

FURTHER RESOLVED, that if any extensions of the time of performance and change orders are needed, the President may approve such request without any further action of the board of Travaux; and, be it

FURTHER RESOLVED, that all acts previously performed, relative to this matter, by the Board of Directors and President of Travaux or its officers, be and hereby are approved, ratified, and confirmed in all respects.
