Minutes note: Warren Jones, Travaux’s Vice President of Construction, informed the Board that this additional work was required because the modular buildings as supplied on a separate contract by Champion Modular Inc. dba Champion Commercial Structures were delivered with much more needed drywall repair and patchwork than originally expected. Since DJS was already contracted for drywall repair and patchwork on an as-needed basis, DJS was authorized to provide as much work as needed for each modular building when it was delivered and set. DJS Construction has done work for Travaux in the past and performed satisfactorily.

The original contract amount was for $50,000.00. During construction, additional drywall work beyond the original scope was required with an additional amount not-to-exceed $234,000.00, resulting in a new total of $284,000.00. This now exceeds the $250,000.00 threshold requiring Board approval.

WHEREAS, Travaux Inc. solicited competitive unit pricing for Drywall (Labor Only) in Blocks 12, 14, and 17 for Phase 4B Townhomes at Westlawn Gardens Phase 2 and awarded the work to DJS Construction LLC, the lowest responsive and responsible bidder; and

 

WHEREAS, the original award amount of $50,000.00 fell under the threshold of $250,000.00 above which approval by the Travaux Inc. Board of Directors is required, and, therefore, said award was not presented to the board for approval at that time; and

 

WHEREAS, during the course of construction, additional drywall work beyond the original scope was required, resulting in a cumulative change order amount of $234,000.00 not-to-exceed; and

 

WHEREAS, the new purchase order amount of $284,000.00 not-to-exceed now exceeds the aforementioned $250,000.00 threshold, and, therefore, requires approval by the Travaux Inc. Board of Directors; therefore, be it,

 

RESOLVED, by the Board of Directors of Travaux Inc. that it hereby authorizes a cumulative change order totaling $234,000.00 not-to-exceed to be added to Purchase Order WGVI1213 with DJS Construction LLC for Drywall (Labor Only) in Blocks 12, 14, and 17 for Phase 4B Townhomes at Westlawn Gardens Phase 2; and, be it

 

FURTHER RESOLVED, that funds for these services will come from Westlawn Renaissance VI Mixed-Financing; and, be it

 

FURTHER RESOLVED, that the proper officers of Travaux Inc. be and hereby are authorized and directed to properly execute a cumulative change order to said purchase order for and on behalf of Travaux Inc.; and, be it

 

FURTHER RESOLVED, that if any extensions of the time of performance are needed, the officers of Travaux Inc. may approve such request without any further action of the Board of Directors of Travaux Inc.; and, be it

 

FURTHER RESOLVED, that all of above is contingent upon receiving the approval of the U.S. Department of Housing and Urban Development, if required; and, be it

 

FURTHER RESOLVED, that all acts previously performed relative to this matter by the Board of Directors of Travaux Inc. be and hereby are approved, ratified, and confirmed in all respects.
