WHEREAS, the Housing Authority of the City of Milwaukee (HACM) formed a subsidiary Travaux, Inc. to strategically position its own development capacity and provide services both to HACM and to entities outside of its portfolio; and
WHEREAS, Travaux, Inc (Company) being a subsidiary of HACM is subject to Open Meetings Law; and
WHEREAS, the Board of Directors of the Company recognizes that the Company being in its initial years of operation, that close involvement of some Board members with operational expertise will be extremely beneficial to the company and to the Board of Directors as they discharge their governance responsibilities.; and
WHEREAS, a Committee Charter outlining process under which the committee operates has been develop (attachment); now, therefore, be it
RESOLVED, by the Board of Directors of the Company a Development and Construction Committee shall be created; and, be it
FURTHER RESOLVED, that the attached Development and Construction Committee Charter be approved; and, be it
FINALLY RESOLVED, that management shall implement the Committee Charter in compliance with this resolution.
