Resolution authorizing the signature of agreement with Yolobe, Inc. and accepting certain services as a gift.
Analysis
This resolution directs the City Clerk to sign the Memorandum of Understanding dated September 2017 between Yolobe, Inc. and the City of Milwaukee authorizing the City to accept certain services from Yolobe, Inc. as a gift.
Body
Whereas, Section 304-24 of the Code of Ordinances regulates the receipt, appropriation, and expenditure of contributions received to the City; and
Whereas, The City is seeking opportunities for low-income young adult residents to secure employment; and
Whereas, Yolobe, Inc. is a technology company that makes software that facilitates organizations working with teenagers and young adults to connect and communicate with them regarding jobs, internships, training, and professional connections; and
Whereas, Click2Work is a Milwaukee E-notify job-notification subscription service; and
Whereas, Yolobe’s software can enhance Click2Work’s brand and subscription service by building a social media platform targeted toward workforce supports in outreach, intake, industry based activities, and job development and placement for low-income unemployed and underemployed residents ages 17 to 37 years; and
Whereas, The Memorandum of Understanding dated September 2017 between Yolobe, Inc. and the City provides a framework for the City to collaborate with Yolobe, Inc. in the design of the Click2Work platform at no cost to the City up to December 31, 2017; and
Whereas, The City shall incur fees in the first quarter of 2018 for implementation and use of the social media hub and network only upon agreement between the City and Yolobe, Inc. after the Click2Work platform model has been designed to the satisfaction of the parties; and
Whereas, Low-income unemployed and underemployed residents ages 17 to 37 years will have free access to the platform; and
Whereas, The Memorandum of Understanding is not a contract and not intended to create any legally binding obligations on either party, and it is intended to facilitate discussions regarding the benefits of a Click2Work social media platform and discussion of the terms of a future binding agreement to be entered into prior to the launch of the Click2Work platform; and
Whereas, The City and Yolobe, Inc. shall Skype or teleconference for weekly updates and keep notes accessible to both parties, develop a plan to resolve disputes, set criteria by which to judge the success of the platform, and develop an implementation as set forth in the Memorandum of Understanding; and
Whereas, The City shall designate a single point of contact to manage the relationship and overall program effort, identify and secure Influential Champions to support the parties’ efforts to roll out the platform, convene corporations and chief business officers in 2017 for a Yolobe/Click2Work presentation, provide sample opportunities and events as appropriate to use in a demonstration, provide iterative and constructive feedback to the joint Yolobe/City team, identify and help to obtain the participation of Wave 1 participating organizations, and help Yolobe prioritize platform related software needs or changes to maximize the value of the demonstration; now, therefore, be it
Resolved, By the Common Council of the City of Milwaukee, that the City Clerk is directed to sign the Memorandum of Understanding dated September 2017 between Yolobe, Inc. and the City of Milwaukee authorizing the City to accept as a gift services specified in the Memorandum of Understanding from Yolobe, Inc.; and, be it
Further Resolved, That the City shall adhere to its Anticipated Tasks as set forth in the Memorandum of Understanding so long as Yolobe, Inc. likewise adheres to its Anticipated Tasks as set forth in the Memorandum of Understanding; and, be it
Further Resolved, That the Common Council expresses its gratitude to Yolobe, Inc. for its generous gift.
