WHEREAS, TRAVAUX, INC 401(K) & PROFIT SHARING PLAN (Plan) requires a Trustee of the Plan;

WHEREAS, Dennis Yaccarino, former CFO, served in the roll of Trustee of the Plan;

RESOLVED, that the plan will be amended to remove Dennis Yaccarino and appoint Fernando Aniban, as Trustee of the plan;

RESOLVED FURTHER, that the Plan be amended in the form of the Trust Agreement attached hereto, which Agreement is hereby adopted and approved;

RESOLVED FURTHER, that the Trustees are hereby directed to execute said Agreement on behalf of the Plan;

RESOLVED FURTHER, that the officers of the Company be, and they hereby are, authorized and directed to take any and all actions and execute and deliver such documents as they may deem necessary, appropriate or convenient to effect the foregoing resolutions including, without limitation, causing to be prepared and filed such reports documents or other information as may be required under applicable law.

RESOLVED FINALLY, that all acts previously performed, relative to this matter, by the Directors and officers of Travaux, Inc., be and hereby are approved, ratified, and confirmed in all respects.
