Minutes note: Scott Simon, Travaux’s Vice President of Business Development, stated that the documents provided with the agenda were drafts and not yet completed but will be for the November meeting. Staff suggested continuing with the presentation and holding the resolution until the final document can be brought to the Board. Vincent Noth, Executive Director at Kinship Community Food Center, gave a presentation on the organization, formerly known as Riverwest Food Pantry, and explained the proposed use for 421 East Locust Street as a food pantry, kitchen, training and community center. Mr. Simon added that other proposals were considered for the purchase of the vacant lot, however, Kinship was the participant chosen who Travaux will be working with. HACM’s Board approved the sale of the lot to Kinship MKE, Inc. at their October 9th meeting. Directors discussed the financing for the development, the structure of the organization, other food distribution locations in Wisconsin, and how long the organization has been operating. Director Crosby made a motion to hold over T354, seconded by Director Guszkowski, there being no objections, this motion carried.

Analysis

 

Body

WHEREAS, the Housing Authority of the City of Milwaukee proposes to enter into an Offer to Purchase and related documents and instruments with Kinship MKE, Inc. (“Kinship”) to allow construction of a new Community Food Center adjacent to Holton Terrace located at 421 East Locust Street, Milwaukee, WI.; and

 

WHEREAS, Kinship requires Owner’s Representation services for the construction of the new Community Food Center; and

 

WHEREAS, Travaux, Inc. (“Travaux”) submitted a proposal for providing Owner’s Representation services to Kinship; and

 

WHEREAS, Kinship has approved Travaux’s proposal and the parties have negotiated an Owner’s Representation Agreement; and

 

WHEREAS, a copy of the Owner’s Representation Agreement is on file with the Secretary;

 

NOW, THEREFORE, BE IT RESOLVED, by the Board of Directors Travaux that they hereby authorize execution and delivery of an Owner’s Representation Agreement with Kinship; and

 

BE IT FURTHER RESOLVED, that the proper Officers of Travaux are hereby authorized and directed to execute the Owner’s Representation Agreement in substantially the form on file with the Secretary on behalf of Travaux or in such form as may be approved by the President; and

 

BE IT FURTHER RESOLVED, that if any extensions of the time for performance or any change orders are required, the Officers of Travaux may administratively approve such requests without further action by the Board of Directors of Travaux; and

 

BE IT FURTHER RESOLVED, that all acts previously performed relative to this matter by Travaux staff hereby are approved ratified and confirmed in all respects.
