Substitute resolution relative to amending the space agreement between the City of Milwaukee and the Board of Regents of the University of Wisconsin System on behalf of the University of Wisconsin-Milwaukee, Joseph J. Zilber School of Public Health.
Analysis
This resolution authorizes the City of Milwaukee Health Department to amend the current space agreement with the University of Wisconsin-Milwaukee, Joseph J. Zilber School of Public Health to allow the CITY to sub-license a portion of the Dedicated Area to the Wisconsin Alliance for Women’s Health, Inc.
Body
Whereas, An amended space agreement has been negotiated between the City of Milwaukee Health Department (CITY) and the University of Wisconsin-Milwaukee, Joseph J. Zilber School of Public Health (UWM) at 1240 N. 10th Street, Milwaukee, WI 53205, allowing the City of Milwaukee Health Department to sub-license a portion of the Dedicated Area to the Wisconsin Alliance for Women’s Health, Inc.; and

Whereas, Section 1(f) “Non-transferability of License” is hereby deleted in its entirety, and replaced with the following: No rights conferred by this Agreement may be assigned, pledged or otherwise disposed of by CITY, directly or indirectly, to any other entity, person, organization or entity; however, notwithstanding the foregoing, CITY may sub-license the following portion of the Dedicated Area to the Wisconsin Alliance for Women’s Health, Inc. (WAWH): cubicles nos. 210J and 210K for the purposes of accomplishing administrative processes and/or tasks necessary to implement the Providers and Teens Communicating for Health (“PATCH”) program. WAWH’s use of this space must comply with all restrictions applicable to CITY. CITY agrees that WAWH’s use of a portion of the Dedicated Area shall not alter CITY’s obligations to UWM in any manner, and CITY shall be liable to UWM for any damage caused by WAWH.; and
