Minutes note: HACM Counsel, Attorney Tom Gartner of Michael Best & Friedrich LLP, explained that, many years ago, the Housing Authority purchased a large parcel of land for the Lincoln Court Development and subsequently sold a portion of that parcel to the Clement Sausage Company, with the HUD declaration for that section released in 2010. HUD is requiring a new Declaration of Trust because the original Memorandum of Lease, recorded with the Milwaukee County Register of Deeds, contains the original, and now incorrect, legal description. Attorney Gartner further stated that the resolution presented is intended to correct the legal description not only for Lincoln Court but for several other Housing Authority properties as well.

WHEREAS, the United States Department of Housing and Urban Development (“HUD”) has prepared a revised Declaration of Trust/Restrictive Covenants (the “Declaration”) which is to be executed by the Housing Authority for various Housing Authority developments; including, Hillside Terrace, Parklawn, College Court, Arlington Court, Locust Court, Mitchell Court, Riverview and Lincoln Court; and

 

WHEREAS, a draft Declaration, HUD-52190 is on file with the Secretary; and

 

WHEREAS, the Housing Authority desires to approve the Declaration and to authorize and direct the Interim Secretary - Executive Director to execute the Declaration and to deliver the Declaration to HUD.

 

NOW, THEREFORE, BE IT RESOLVED, by the Commissioners of the Housing Authority of the City of Milwaukee that the Declaration is hereby approved; and be it

 

FURTHER RESOLVED, that the Secretary-Executive Director is authorized and directed to execute and deliver the Declaration to HUD, with such minor non-substantive revisions as may be required by HUD.
