Minutes note: Patricia Dee, HACM’s Administrative Services Supervisor, summarized the changes to the Bylaws as delineated in the attachments. Julie Wilson, Assistant City Attorney, pointed out that newly added language in Article 1, Section 1, taken from state statutes, will clarify that the use of “authority” throughout refers to HACM’s Board of Commissioners. Commissioners discussed the challenges of the recruitment of new Commissioners created by the earlier Bylaw language coupled with federal and state statutes.

Body
WHEREAS, updates were required to the Housing Authority of the City of Milwaukee’s Bylaws to match current federal, state and local policies, to align with evolving practices and technological advances, for clarity and because it was deemed preferable to revise language that required frequent technical changes, such as references to specific amounts, to language that would be longer-lasting; and

WHEREAS, topics of the bylaws that are recommended for revision include the electronic retention of Board records, the micro procurement and small purchases thresholds, the Commissioner requirements, succession planning and compensation, determining the date of the annual meeting, clarifying the cancellation of meetings, the use of email communication to Commissioners and the notice of bylaw amendments which are found in Article I, Section 1; Article II, Section 4; Article II, Section 6; Article III, Section 1; Article III, Section 2, Article III, Section 3; Article III, Section 5, Article III, Section 6; and Article IV, Section 1; and

WHEREAS, the staff of the Housing Authority of the City of Milwaukee presented a redline draft of the updated Bylaws, attached hereto as Exhibit A, and a version with the changes accepted, attached hereto as Exhibit B, to the Board of Commissioners at least seven days before the Board Meeting where the vote was to take place; now, therefore, be it

RESOLVED, by the Commissioners of the Housing Authority of the City of Milwaukee that they hereby approve these revisions; and, be it

FURTHER RESOLVED, that it is affirmed that the Bylaws were updated in accordance with Article IV of the existing Bylaws, including providing the Commissioners of the Authority with a seven-day written notice of the proposed changes; and be it
