Title
Resolution authorizing City entry into a development and credit purchase agreement with Milwaukee Board of School Directors, City of Milwaukee, and CIS MMSD, LLC for the purchase of Green Infrastructure gallon credits at Lincoln and Modrzejewski Playfields, in the 12th Aldermanic District.
Analysis
This resolution authorizes the City of Milwaukee to enter into a development and credit purchase agreement with CIS MMSD, LLC and Milwaukee Board of School Directors for MPS properties at Lincoln (254 W. Lincoln Ave) and Modrzejewski (1020 W. Cleveland Ave) Playfields.
Body
Whereas, The City is the owner of a certain parcel of real estate identified as Lincoln Playfield at 254 W. Lincoln Ave., and Modrzejewski Playfield at 1020 W. Cleveland Ave. ("Properties" or “Project Sites”); and
Whereas, The City and Milwaukee Board of School Directors (MBSD), via City of Milwaukee Common Council Resolution 48-104-j (1955), have joint-interest in all playfields in the City of Milwaukee, Wisconsin; and
Whereas, Pursuant to that Common Council Resolution 48-104-j (1955), any development or layout changes to a playfield requires mutual agreement between the City and MBSD; and
Whereas, MBSD wishes to act as the developer or to retain a third party to act as the developer of Green Infrastructure ("GI") at the Property on the terms and conditions set forth in this Agreement and as described more fully in Exhibit 1 attached hereto ("Project") in substantially the same form and substance as the template conservation easement to submitted to this file; and
Whereas CIS wishes to purchase Gallon Capture Credits that are generated in connection with the GI on the terms and conditions set forth in this Agreement ("Gallon Capture Credits" or “GCCs”);
Whereas, MBSD shall plan, design, develop, construct, service, maintain and manage in accordance with the terms and conditions of this Agreement and as set forth in "Project Scope, Schedule, and Gallon Capture Credit Purchase Terms" and will be in substantially the same form and substance as submitted to this file; and
Whereas, MBSD has executed a License Agreements with CIS, granting CIS access to the Projects and for maintenance, and will be in substantially the same form and substance as submitted to this file; and
Whereas, After the completion of construction of a Projects, MMSD receives a Conservation Easement from the City for that specific Project, limited to the GI installed through the specific Project; and
Whereas, The conservation easement to be used post-installation, for each project, will be in substantially the same form and substance as the conservation easement submitted to this file; now therefore, be it
Resolved, By the Common Council of the City of Milwaukee, that the Development and Credit Purchase agreement with CIS MMSD, LLC and Milwaukee Board of School Directors Agreement submitted to this file is hereby approved, and City personnel, including the DPW Commissioner, are authorized: (i) to cause the City to enter the agreement document in the same form, or in substantially the same form and substance, as have been submitted to this file; and (ii) to cause the City to enter, for each playfield site, a License Agreement between Milwaukee Board of School Directors, the City of Milwaukee, and CIS MMSD, LLC, in the same form, or in substantially the same form and substance, as have been submitted to this file; and (iii) to cause the City to enter, for each playfield site post-installation of the green infrastructure improvements, the conservation easement in the same form, or in substantially the same form and substance, as is submitted in this file and approved by that Resolution File 260074; and (iv) to take such further acts as may be contemplated or required to be taken by the City under those documents so as to carry out the intent and purpose of this resolution and those documents.
