Substitute Resolution approving Assignment Agreement, assigning tenant's rights under leases between Westel-Milwaukee Company, Inc. d/b/a Cellular One and City of Milwaukee to United States Cellular Operating Company. _____________________________________________
BODY:
Whereas, Westel-Milwaukee Company, Inc., d/b/a Cellular One ("Cellular One") requested on April 15, 1997 that the City of Milwaukee consent to assignment of its leases for antenna and equipment space at the Linnwood Water Treatment Plant site, 3000 North Lincoln Memorial Drive, and at the Zeidler Municipal Building site, 841 North Broadway, to United States Cellular Operating Company ("United States Cellular") because of an exchange of properties between Cellular One and United States Cellular; and
 
Whereas; The attorneys for Cellular One have drafted an Assignment Agreement, the form of which is attached to this file, which provides that United States Cellular assumes all of the obligations, duties and liabilities of Cellular One under the leases, provides that Cellular One continue to be responsible for any defaults, and, in addition, gives the City's consent to such Assignment; and
 
Whereas, The Office of City Attorney has reviewed the form attached to the file of Assignment Agreement and finds no problem with the proposed document; now, therefore, be it
 
Resolved, By the Common Council of the City of Milwaukee that the proper City officers are authorized and directed to execute the Assignment Agreement in the same form as attached to this file, including any non- substantive, minor changes, approved by the Office of the City Attorney.
