Resolution approving settlement regarding Champion Modular, Inc., D/B/A Champion Commercial Structures

Body
WHEREAS, Travaux, Inc., (the “Company”) entered into a commercial relationship with Champion Modular, Inc., D/B/A Champion Commercial Structures (“Champion”) pursuant to, among other relationships, that certain Subcontract for Commodity Purchase Contract #20-006 dated as of May 26, 2020 and that certain AIA Document A401-2017 dated as of May 26, 2020 (collectively, the “Agreement”); and
WHEREAS, the Company and Champion have a good faith dispute (the “Dispute”) over amounts owed from the Company to Champion, and amounts owed from Champion to Company, pursuant to the Agreement and related matters.
NOW, THEREFORE, BE IT:
RESOLVED, that Willie J. Hines, Jr., the President of the Company, is hereby authorized, empowered and directed, in the name and on behalf of the Company, to negotiate and settle any outstanding claims between the Company and Champion on terms that the President deems to be advantageous and to execute and deliver the any settlement agreement or any documents necessary to effectuate settlement as he may deem necessary, proper or advisable; and be it further
RESOLVED, that all actions previously taken by any officer, employee, consultant, agent or attorney of the Company relating to the transactions contemplated by the foregoing resolutions are hereby adopted, ratified, confirmed and approved in all respects as the acts and deeds of the Company; and be it further
RESOLVED, that all actions previously taken by any officer, employee, consultant, agent or attorney of the Company relating to the above resolutions and the transactions contemplated in connection therewith are hereby adopted, ratified, confirmed and approved in all respects as the acts and deeds of the Company.
